Decision No.: H-005/11

It has been determined, pursuant to subsection 171(2) of the Canada Business Corporations Act, that CATERPILLAR FINANCIAL SERVICES LIMITED / LES SERVICES FINANCIERS CATERPILLAR LIMITÉE is authorized to dispense with an audit committee, as required under subsection 171(1) of the Act, for the financial year ending on or about December 31, 2012.

This exemption has been granted on December 28, 2011.

Conversion Works Corporation

It has been determined that the management of Conversion Works Corporation is partially exempt pursuant to subsection 151(1) of the Canada Business Corporations Act from the requirements of subsection 150(1) of the Act, specifically exempt from adhering to Item 14.2 of Part 2 of Form 51-102F5 (Information Circular) of National Instrument 51-102 for the management proxy circular for the annual and special meeting to be held on or about January 25, 2012
