Transfer Decision

Application

1. On March 3, 2017, Innovation, Science and Economic Development Canada (ISED) received a joint application, as a result of Bell Canada (Bell) acquiring MTS Inc. (MTS) (http://www.ic.gc.ca/eic/site/smt-gst.nsf/eng/sf11257.html), for the modification of subordinate commercial mobile spectrum licences currently between MTS and Rogers Communications Canada Inc. (Rogers).

2. As Bell will replace MTS in the network sharing arrangement (the “Agreement”) that MTS has with Rogers, Bell and Rogers modified the Agreement and requested that the subordinate commercial mobile spectrum licences between MTS and Rogers be similarly updated.  The subordinate licences, which are across the province of Manitoba, are described in Annex A. The application was reviewed under the relevant provisions of Client Procedures Circular CPC 2-1-23, Licensing Procedure for Spectrum Licences for Terrestrial Services.

3. Terms not defined in this decision have the meaning set out in CPC-2-1-23.

Decision

4. The subordinate commercial mobile spectrum licences between Rogers and Bell are approved.

Rationale

5. The application was assessed against the policy objectives and criteria set out in Section 5.6 of CPC-2-1-23.

6. ISED approved the subordinate licences between MTS and Rogers in May 2014 (https://www.ic.gc.ca/eic/site/smt-gst.nsf/eng/sf10815.html) and notes that the nature of the agreement between Bell and Rogers remains the same.  Approving the subordinate licensing application will have no impact on the overall spectrum holdings or distribution, but will enable Rogers and Bell to continue to deliver services to existing and new customers through the joint network.

7. ISED has determined that the subordinate licences will not impact the ability of existing and future competitors to provide services.
