Instructions for Form 22 – Annual Return

You are providing information required by the Canada Business Corporations Act (CBCA). Note that both the CBCA and the Privacy Act allow this information to be disclosed to the public. It will be stored in personal information bank number IC/PPU-049.

Corporations must file a Form 22 – Annual Return along with the prescribed fee within 60 days following the corporation's anniversary date. The anniversary date is the date your corporation was created or the date your corporation first came under the jurisdiction of the CBCA.

Item 4: Date of the last annual meeting of shareholders or date of the last written resolution in lieu of meeting

Indicate the date of the last annual meeting of members or the date of the last written resolution in lieu of a meeting. A written resolution is a written record of decisions that is signed by all of the members who are entitled to vote.

Item 5: Statement corresponding to the corporation’s situation

Indicate which of the following statements describes your corporation’s situation:

  • non-distributing corporation with 50 or fewer shareholders
  • non-distributing corporation with more than 50 shareholders or
  • distributing corporation.

A non-distributing corporation does not file documents with a securities commission and does not sell shares on a stock exchange. A distributing corporation files documents with a securities commission or sells shares on a stock exchange.

Item 6: Declaration

This form must be signed by any individual who has the relevant knowledge of the corporation and who is authorized by the directors, for example:

  • a director of the corporation
  • an authorized officer of the corporation or
  • an authorized agent.

Filing fee

Include the filing fee for the annual return.
