Deemed Transfer Decision

Application

1. On December 18, 2015, Innovation, Science and Economic Development Canada received an application for the Deemed Transfer of forty-six (46) spectrum licences held by WIND Mobile Corp. (WIND) to 1503357 Alberta Ltd. (Shaw). The Licences are in the Advanced Wireless Services (AWS-1 and AWS-3) and Personal Communications Service (PCS) bands located across Canada. The Licences are described in Annex A.

2. The application was reviewed under the relevant provisions of Client Procedures Circular CPC-2-1-23, Licensing Procedure for Spectrum Licences for Terrestrial Services.

3. Capitalized terms not defined in this Decision have the meaning set out in CPC-2-1-23.

Decision

4. The Deemed Transfer of the licences held by WIND to Shaw is approved.

Rationale

5. The application was assessed against the policy objectives and criteria set out in Section 5.6 of CPC-2-1-23.

6. Innovation, Science and Economic Development Canada notes that competitors in the affected licence areas hold a mix of commercial mobile spectrum capable of supporting a Long Term Evolution (LTE) ecosystem.

7. The Department also notes that Shaw will continue operating WIND’s mobile network and does not hold any commercial mobile spectrum; therefore the approval of the Deemed Transfer will not result in any change in spectrum concentration.

8. The Department has determined that the requested Deemed Transfer will not impact the ability of existing or future competitors to provide services in the affected licence areas.
